LocalStripFan.com User Agreement

This is an Agreement between you and LocalStripFan.com (LocalStripFan.com is a d/b/a City Scene, LLC and all references to LocalStripFan.com necessarily imply and apply to City Scene, LLC). You agree that this User Agreement and LocalStripFan.com's Privacy Policy (collectively, this 'Agreement') govern both your legal rights with regards to LocalStripFan.com the business, as well as your legal rights and obligations with regard to the use of LocalStripFan.com's website (the 'Website') and LocalStripFan.com's software (the 'Software')(collectively, the 'Service'). You explicitly and implicitly agree to be bound by the terms and conditions of this Agreement and the terms of LocalStripFan.com's Privacy Policy ('Privacy Policy') each time you access and/or use our Website or Software. If you do not wish to be bound by the terms of this Agreement, please do not use and/or access the Website or the Software.

We may amend this Agreement at any time by posting the amended terms on our Website. We may, however we are under no obligation to do so, post notices on the homepage of the Website when such changes occur. Such changes become effective at the time the amendment is posted. It is your responsibility to monitor this Agreement for updates and revisions.

Our Service

LocalStripFan.com provides a unique Website that allows you to access and use our online software service, i.e., the Software. The Service allows subscribing end users (i.e., you), as an entertainer, club or fan (individually, a 'Subscriber') to interact with each other, sell and purchase goods and services, and may allow you to post to third-party social media websites and related websites and web platforms. The terms of this Agreement govern your use of the Service. In order to use the Service, you are required to register to use it for which you will pay a subscription fee. The subscription fee must be prepaid in order to use the Service.

Account Registration

By registering as a Subscriber, you are legally representing that to the best of your knowledge and belief, your registration information is truthful, accurate, and complete.

Right to Refuse Your Purchase of Subscription

LocalStripFan.com has sole discretion in determining whether to accept or refuse your request for a subscription, including renewal of subscription, to the Website and may refuse your request to subscribe or renew your subscription to the Website or use of the Software in its sole and absolute discretion and without the need to provide explanation. LocalStripFan.com has no liability whatsoever for such refusal.

No Liability for Access by Minors

LocalStripFan.com is not responsible for determining the age of its users and has no liability whatsoever should a minor use the Website or any other part of the Service, regardless of whether the minor's use of the Service would otherwise be prohibited due to the minor's age.

Beta User Accounts

LocalStripFan.com may offer Beta User Accounts. A Beta User is a user who helps us test the Website and the Service for errors as well as feedback for improvements in functionality in return for receiving access to the Service. You understand and agree that Beta User Accounts are offered at our sole discretion and that there is no guarantee that you may be selected for a Beta User Account even if you apply to receive one. If LocalStripFan.com selects you for a Beta User Account, you must wholly abide by the terms of this Agreement and our Beta User Agreement. LocalStripFan.com reserves the right to convert Beta User Accounts into Free Trial Accounts at our sole discretion and without notice to you and that such action will be considered a termination of our Beta User Agreement.

Free Trial Accounts

LocalStripFan.com may offer Free Trial accounts where you may use the Service free of charge for a specified time period. Upon expiration of this time period, your access to the Service will be terminated unless you choose to pay the applicable subscription fee and become a Subscriber. You understand that only a single Free Trial account will be granted for a given email address. LocalStripFan.com has no duty to provide Free Trial accounts and has no liability to you if you cannot obtain one or if we terminate your Free Trial account prior to the expiration of the given time period of your existing Free Trial account. LocalStripFan.com may, without notice or liability, stop offering Free Trial accounts to you at our sole discretion.

Billing for Services

By becoming a Subscriber to the Website and using the Service, you authorize LocalStripFan.com to store your payment card information and to charge the billing source you have provided for your account according to the billing plan you selected for your account. For monthly billing plans, you authorize LocalStripFan.com to charge each month the billing source you have provided without further authorization, until your account is terminated.

Following the expiration of the Free Trial Account, unless otherwise agreed to in writing, an account is for a single End User only and for fee based accounts, any End User in addition to the single Subscriber for that account will be subject to an additional subscription fee equal to the fee of the Subscriber of the subject account, which the Subscriber of the account authorizes LocalStripFan.com to bill his/her/its credit card.

If your billing source is declined, LocalStripFan.com will not allow you to access the Service. After your access to the Software is terminated, LocalStripFan.com reserves the right to remove all information and settings related to your account from our servers with NO liability or notice to you.

Termination of Account

You may terminate your account with LocalStripFan.com at any time; however, unless LocalStripFan.com is in breach of this Agreement and does not cure said breach within thirty (30) days of receiving written notice from you of the breach, identifying specifically the nature of the breach, you are not entitled to any refunds. We may terminate your account without notice or refund to you if you violate this Agreement. If your account is terminated, LocalStripFan.com reserves the right to remove your account information along with any software settings from our servers with NO liability or notice to you.

Your Obligations

A. Applicable Laws and this Agreement

You must comply with all applicable laws and this Agreement, as may be amended from time to time with or without advance notice (including, but not limited to, any policies and processes explained in the following sections).

B. License and warranty for your submissions to LocalStripFan.com and websites you submit information on through LocalStripFan.com.

You own the information you provide LocalStripFan.com or input on third-party websites through the Service. You grant LocalStripFan.com a nonexclusive, irrevocable, worldwide, perpetual , unlimited, nonassignable, nonsublicenseable, fully paid up and royalty-free right to us to copy, prepare derivative works of, improve, distribute, publish, remove, retain, add, process, analyze, and use in the operation of the Service that you provide, directly or indirectly to LocalStripFan.com or to a third-party through the Service, including, but not limited to, any user generated content, ideas, concepts, techniques or data you submit to LocalStripFan.com, without any further consent, notice and/or compensation to you or to any third parties.

By providing information to us or to third-parties through the Service, you represent and warrant that you are entitled to and authorized to submit the information and that the information is accurate, not confidential, and not in violation of any contractual restrictions or other third party rights. It is your responsibility to keep your LocalStripFan.com account information accurate and updated.

C. Service Eligibility

To be eligible to use the Service, you must meet the following criteria and represent and warrant that you: (1) are 18 years of age or older; (2) are not currently restricted from the Service, or not otherwise prohibited from having a LocalStripFan.com account, (3) are not a competitor of LocalStripFan.com or are not using the Service for reasons that are in competition with LocalStripFan.com; (4) have full power and authority to enter into this Agreement and doing so will not violate any other agreement to which you are a party; (5) will not violate any rights of LocalStripFan.com, including intellectual property rights such as copyright or trademark rights; and (6) agree to provide at your cost all equipment, software, and internet access necessary to use the Service.

D. Sign-In Credentials.

You agree to: (1) Keep your password secure and confidential; (2) not permit others to use your account; (3) refrain from using other End User accounts; (4) refrain from selling, trading, or otherwise transferring your LocalStripFan.com account to another party; and (5) unless otherwise specifically agreed to in writing by LocalStripFan.com, you shall refrain from charging anyone for access to any portion of LocalStripFan.com (except as provided for directly through the Service), or any information therein. Further, you are responsible for anything that happens through your account until you close down your account or prove that your account security was compromised due to no fault of your own.

E. Notify us of acts contrary to the Agreement.

If you believe that you are entitled or obligated to act contrary to this Agreement under any mandatory law, you agree to provide us with detailed and substantiated explanation of your reasons in writing at least 30 days before you act contrary to this Agreement, to allow us to assess whether we may, at our sole discretion, provide an alternative remedy for the situation, though we are under no obligation to do so.

F. Privacy.

You should carefully read our full Privacy Policy before deciding to become a Subscriber to the Service as it is hereby incorporated into this Agreement by reference. The Privacy Policy governs our treatment of any information, including personally identifiable information, you submit to us. Please note that certain information, statements, data, and content (such as photographs, video, etc.) which you may submit to or through the Service may reveal your gender, ethnic origin, nationality, age, and/or other personal information about you. You acknowledge that your submission of any information, statements, data, and content to us is voluntary on your part.

G. Contributions to LocalStripFan.com

By submitting ideas, suggestions, documents, and/or proposals ("Contributions") to LocalStripFan.com by email or through its suggestion or feedback web pages or any other means, you acknowledge and agree that: (a) your Contributions do not contain confidential or proprietary information; (b) LocalStripFan.com is not under any obligation of confidentiality, express or implied, with respect to the Contributions; (c) LocalStripFan.com shall be entitled to use or disclose (or choose not to use or disclose) such Contributions for any purpose, in any way, in any media worldwide; (d) LocalStripFan.com may have something similar to the Contributions already under consideration or in development; (e) you irrevocably assign to LocalStripFan.com all rights to your Contributions; and (f) you are not entitled to any compensation or reimbursement of any kind from LocalStripFan.com under any circumstances.

I. Third-Party Sites and Developers

LocalStripFan.com may include links to third party web sites ('Third Party Sites') on the Website or otherwise through the Service, and elsewhere. You are responsible for evaluating whether you want to access or use a third party site or a third-party platform application. You should review any applicable terms and/or privacy policy of the third-party site(s) and platform applications before using it or sharing any information with it, because you may give the third-party website or platform operator or another third-party access to or permission to use your information in ways we would not. LocalStripFan.com is not responsible for and does not endorse any features, content, advertising, products or other materials on or available from third party sites or platform applications. LocalStripFan.com also does not screen, audit, or endorse third-party websites or platform applications. Accordingly, if you decide to access a third-party website or platform application, you do so at your own risk and agree that your use of any website or platform application is on an 'as-is' basis without any warranty as to the use of the third-party website or platform application, and that this Agreement does not apply to your use of any third-party website or platform application.

Please note: If you allow a third-party website or a third-party platform application to authenticate to or connect with your LocalStripFan.com account, that website or application may be able to access information on the Website and vice versa related to you and your connections and other personal information.

Limited License

Upon registering for our services and upon the condition that you comply with all of your obligations under this Agreement, LocalStripFan.com grants you a non-exclusive, non-transferable, non-assignable revocable license to access and use the Website and the Software, strictly in accordance with this Agreement and subject to all the limitations set forth in this Agreement. Violation of any of the terms of this Agreement is grounds for the immediate termination of your account without notice and is also grounds for civil and/or criminal liability.

Our Website Content

You understand and agree that the Services and related technologies and intellectual property are owned by and belong to City Scene, LLC d/b/a LocalStripFan.com and are protected by United States Copyright Law and as such, you will not attempt to reverse engineer or otherwise copy the Services, including, but not limited to, the Website, the Software, and any related technologies. Any violation of this provision is grounds for subjecting you to civil and criminal action. You understand and agree that LocalStripFan.com, and other products and company names mentioned on our Website may be trademarks, servicemarks or copyrights of their respective owners, and that as such, you may not use any copyrighted material or use any such trademark or servicemark in connection with any product or service in any manner which violates the law, including, but not limited to, United States Trademark Law.

General Content Disclaimer

The opinions expressed through the Service by Subscribers are strictly those of the person who gave them and are no way endorsed or otherwise supported or adopted by LocalStripFan.com. The Website content may be changed without notice and is not guaranteed to be complete, correct, timely, current or up-to-date, and just as with any printed materials, it may become out-of-date. LocalStripFan.com has no obligation to update any content on the Website.

Liability Disclaimer

SOME COUNTRIES AND JURISDICTIONS DO NOT ALLOW FOR THE DISCLAIMER OF IMPLIED TERMS IN CONTRACTS WITH CONSUMERS AND AS A RESULT THE CONTENTS OF THIS SECTION MAY NOT APPLY TO YOU.

LocalStripFan.com DOES NOT CONTROL OR VET USER GENERATED CONTENT FOR ACCURACY. LocalStripFan.com DOES NOT PROVIDE ANY EXPRESS WARRANTIES OR REPRESENTATIONS. Although we provide rules for user conduct and postings, we do not control and we are not responsible for what users post, transmit or share on through the Service or any other website (even if such content is published through the Service). Furthermore, we are not responsible for any offensive, inappropriate, obscene, unlawful or otherwise objectionable content you may encounter through your use of the Service. LocalStripFan.com DOES NOT HAVE ANY OBLIGATION TO VERIFY THE IDENTITY OF THE PERSONS SUBSCRIBING TO ITS SERVICE, NOR DOES IT HAVE ANY OBLIGATION TO MONITOR THE USE OF ITS SERVICE BY OTHER USERS OF THE COMMUNITY; THEREFORE, LocalStripFan.com DISCLAIMS ALL LIABILITY FOR IDENTITY THEFT OR ANY OTHER MISUSE OF YOUR IDENTITY OR INFORMATION.

IN NO EVENT WILL LOCALSTRIPFAN.COM OR ITS DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE TO YOU OR ANY THIRD PERSON FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING FOR ANY LOST PROFITS OR LOST DATA ARISING FROM YOUR USE OF THE SITE OR THE SOFTWARE, ANY PLATFORM APPLICATIONS OR ANY OF THE SITE'S CONTENT OR OTHER MATERIALS ON, ACCESSED THROUGH OR DOWNLOADED FROM OUR WEBSITE, EVEN IF LocalStripFan.com IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Monitoring and Removal of Information

You understand and agree that LocalStripFan.com reserves the right to monitor all advertisements, public postings and messages to ensure that they conform to our content guidelines. We also reserve the right to monitor all messages that take place through the Service. You understand and agree that monitoring is at our discretion and that we cannot and do not monitor every message or other material posted or sent by End Users of the Service. You understand and agree that LocalStripFan.com is not responsible in any way for monitoring or failing to monitor any offensive or obscene materials that may be transmitted or posted by other users, including, but not limited to, current Subscribers, unauthorized users, hackers, etc. Furthermore, you also understand and agree that LocalStripFan.com is not responsible for the use of any personal information that an End User may choose to post through the Service. However, you understand and agree that despite LocalStripFan.com not having any obligation to do so, LocalStripFan.com reserves the right to delete, move, or edit messages or materials, including, but not limited to, advertisements, public postings, and messages, that we, in our sole discretion, deem necessary to be removed.

Advertisers, User Contributions, Testimonials and Opinions

You understand that our Website and any emails you receive from LocalStripFan may include advertisements, user-contributed materials (such as blogs or discussion groups), testimonials and opinions from other individuals, including, but not limited to, users of the Website, manufacturers and service providers, and other industry professionals. You understand and agree that such advertisements, user-contributed materials, testimonials, and opinions are considered those of the individual that gave them and in no way represent a warranty of the Service. Furthermore, you understand and agree that LocalStripFan.com is in no way liable for the content on the Service and LocalStripFan.com has no liability related to your reliance on it or to any such advertisements, user-contributed materials, testimonials, and opinions.

The Do's and Don'ts for LocalStripFan.com Subscribers

As a condition to access and use of the Services, all users of the Website and the Software understand and agree to the following rules of conduct while using the Website and/or the Software:

1. Do the following:

comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, export control laws, tax laws, and regulatory requirements .
provide accurate information to us and update it as necessary.
comply with our Privacy Policy.
comply with notices sent by LocalStripFan.com concerning the Service;
use the Website, its content, and the Software solely for its intended purposes only.
abide by this agreement as provided with the Software.

2. Do not do the following:

share any contact information, e.g., telephone number, email address, home or business address, EXCEPT as it specifically relates to a Club's business address or a Club address that an Entertainer may be appearing.
solicit any in-person private meetings to occur outside of the use of the Services;
solicit or perpetuate any prostitution or any other illegal activities.
use the Service as a forum for employment or job recruitment or any type of function that could be construed as soliciting Entertainers to dance at a Club other than the one that they are subscribed under for the Service.
publish through the Service any images of any person under the age of 18.
publish through the Service any images of any person without their express written consent.
attempt to use any method to gain unauthorized access to any paid features of the Website.
copy, print (except for personal use), republish, display, distribute, transmit, sell, rent, lease, loan or otherwise make available in any form or by any means all or any portion of the Website, its content, and the Software.
unless otherwise explicitly agreed to in writing by LocalStripFan.com, use the Website or any content obtained from it to develop, as a component of, any information, storage and retrieval system, database, information base, or similar resource (in any media now existing or hereafter developed), that is used or offered for commercial distribution of any kind, including through sale, license, lease, rental, subscription, or any other commercial distribution mechanism
use automated scripts to collect information from or otherwise interact with the Software or the Website.
use the Service to commit any illegal acts as defined by any applicable law or statute, including, but not limited to the laws of state governments, federal governments, or other such governing bodies.
Act dishonestly or unprofessionally by engaging in unprofessional behavior by posting inappropriate, inaccurate, or objectionable content;

infringe upon patents, trademarks, trade secrets, copyrights or other proprietary rights;
upload or introduce software viruses, worms, or any other computer code, files or programs that interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment of LocalStripFan.com or any User of LocalStripFan.com
reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for any underlying intellectual property used to provide the Services, or any part thereof
utilize or copy information, content or any data you view on and/or obtain from LocalStripFan.com to provide any service that is competitive, in LocalStripFan.com's sole discretion, with LocalStripFan.com;
imply or state, directly or indirectly, that you are affiliated with or endorsed by LocalStripFan.com unless you have entered into a written agreement with LocalStripFan.com;
adapt, modify or create derivative works based on LocalStripFan.com or technology underlying the Service, or other Users' content, in whole or part, except as permitted under LocalStripFan.com's developer program;
sell, sponsor, or otherwise monetize the Service or any functionality of LocalStripFan.com, without the express written permission of LocalStripFan.com;
deep-link to the Website for any purpose, (i.e. including a link to a LocalStripFan.com web page other than LocalStripFan.com's home page) unless expressly authorized in writing by LocalStripFan.com;
remove any copyright, trademark or other proprietary rights notices contained in or on the Website including those of both LocalStripFan.com and any of its licensors;
remove, cover or otherwise obscure any form of advertisement included on LocalStripFan.com;
collect, use, copy, or transfer any information, including, but not limited to, personally identifiable information obtained from LocalStripFan.com except as expressly permitted in this Agreement or as the owner of such information may expressly permit;
infringe or use LocalStripFan.com's brand, logos and/or trademarks, including, without limitation, using the word 'LocalStripFan.com' in any business name, email, or URL or including LocalStripFan.com's trademarks and logos except as provided in LocalStripFan.com's brand guidelines or as expressly permitted by LocalStripFan.com;
use manual or automated software, devices, scripts robots, other means or processes to access, 'scrape,' 'crawl' or 'spider' any web pages or other services contained in the site;
use bots or other automated methods to access LocalStripFan.com, add or download contacts, send or redirect messages, or perform other activities through LocalStripFan.com, unless explicitly permitted by LocalStripFan.com;
access, via automated or manual means or processes, LocalStripFan.com for purposes of monitoring LocalStripFan.com's availability, performance or functionality for any competitive purpose;
engage in 'framing,' 'mirroring,' or otherwise simulating the appearance or function of LocalStripFan.com's website;
attempt to or actually access LocalStripFan.com by any means other than through the interfaces provided by LocalStripFan.com such as its mobile application or by navigating to http://www.LocalStripFan.com using a web browser. This prohibition includes accessing or attempting to access LocalStripFan.com using any third-party service, including software-as-a-service platforms that aggregate access to multiple services, including LocalStripFan.com;
attempt to or actually override any security component included in or underlying LocalStripFan.com;
engage in any action that directly or indirectly interferes with the proper working of or places an unreasonable load on LocalStripFan.com's infrastructure, attempting to gain unauthorized access to LocalStripFan.com, or transmitting or activating computer viruses through or on LocalStripFan.com;
interfere with or disrupt or game LocalStripFan.com or the Service, including, but not limited to, any servers or networks connected to LocalStripFan.com, in particular LocalStripFan.com's search algorithms.
use the Service to "stalk" or otherwise harass another person.
harvest or collect email addresses or other contact information from users of the Website and the Service for the purposes of sending unsolicited emails or other unsolicited communications.

Indemnification

You agree to indemnify LocalStripFan.com and our partners, agents, officers, directors, employees, subcontractors, successors, assigns, third party suppliers of information and documents, attorneys, advertisers, product and service providers, and affiliates from any liability, loss, claim and expense, including reasonable attorney's fees, related to: (1) your failure to comply with this Agreement, including, without limitation, your submission of content that violates third party rights or applicable law, any content you submit to or through the Service, (2) any content you submit to or through the Service, (3) your use of the Website and the Software, and (4) any violation by you of the terms of this Agreement.

Release of Personal Information

As stated in our Privacy Policy, LocalStripFan.com is committed to your privacy and will not share your personal information with anyone. However, you acknowledge, consent and agree that we may access, preserve, and disclose your registration and any other information you provide if required to do so by law or in a good faith belief that such access, preservation or disclosure is reasonably necessary in our opinion to: (1) comply with legal process, including, but not limited to, civil and criminal subpoenas, court orders or other compulsory disclosures; (2) enforce this Agreement; (3) respond to claims of a violation of the rights of third parties, whether or not the third party is an end-user of the Services, individual, or government agency; (4) respond to customer service inquiries; or (5) protect the rights, property, or personal safety of LocalStripFan.com or our End Users.

Arbitration of Disputes

If we cannot amicably resolve any legal dispute or damage claim that should arise from your interactions with the Website, the Software, and/or LocalStripFan.com you agree to resolve any such dispute or damage claim by arbitration. The arbitration proceeding shall be conducted in Oakland and/or Wayne County, Michigan, in accordance with the rules of the American Arbitration Association then in effect with one (1) arbitrator to be selected by mutual agreement of both you and LocalStripFan.com. If we cannot agree on an arbitrator, then the American Arbitration Association shall select an arbitrator from the National Panel of Arbitrators. The laws of the State of Michigan shall apply to the arbitration proceedings. You agree that the arbitrator cannot award punitive damages to either of us and agree to be bound by the arbitrator's findings. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction, which shall include, but not be limited to, the courts within Wayne County, Michigan.

Any dispute that arises will be governed by the terms of this Agreement as written at the time the dispute arose, regardless of subsequent changes to the Agreement after the dispute arose.

Choice of Law

You agree that the laws of the State of Michigan are to be used with regards to any interactions with the Website and/or the Service as well as with LocalStripFan.com.
